Terms of Service

1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you (the individual or the organization you represent) and NIFI. They govern access to nifi.us, NIFI software products, APIs, desktop clients, and related professional services (together, the “Services”).
By creating an account, clicking accept, executing an order, or using the Services, you agree to these Terms and our Privacy Policy. If you are accepting for a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
2. Definitions
- Customer Data means personal data, corporate records, files, and configuration you or your users submit to the Services (for example guests, invoices, inventory, HR files, contracts, and CRM notes).
- Workspace means a tenant, property, or user-nifi-service instance in which Customer Data is stored.
- Order means an online checkout, invoice, or signed commercial document that specifies products, plan, fees, and term.
3. The Services
NIFI provides business software and related services, including without limitation niTel (PMS), niUp (CRM), niGo (fleet), niPOS (F&B), niPages (CMS), niTask, niTeam, niLogix, niFinly, Lexfi, Sella (sales operations agent), CaliNi, niHub (central management), NiOps AI, consulting, and infrastructure/security services described on nifi.us. Features, modules, and regional availability vary by product, plan, and Order.
We may improve, add, or withdraw features. If a change materially reduces a paid core function, we will give reasonable notice. Beta or preview features are provided as-is and may change or end without notice.
4. Accounts, access, and acceptable credentials
- Provide accurate registration information and keep it current.
- Keep passwords, API keys, MFA devices, and OAuth grants confidential. You are responsible for activity under your accounts and Workspace.
- Organization administrators control users, roles, and data inside the Workspace, including niHub application settings.
- OAuth sign-in (Google, Apple, GitHub, and similar) is also subject to the identity provider’s terms.
- We may suspend credentials that appear compromised, shared in violation of the plan, or used to attack the platform.
5. Acceptable use
You will not, and will not allow others to:
- Probe, scan, or attack the Services, bypass billing or access controls, or overload infrastructure except via documented load-testing we approve in writing
- Upload unlawful, infringing, defamatory, or harmful content
- Use the Services to send spam or to violate anti-bribery or export laws
- Resell, white-label, or sublicense NIFI software except as an Order expressly allows
- Reverse engineer the Services except to the limited extent mandatory law prohibits this restriction
- Submit special-category or highly regulated data (for example full payment card PAN, unprotected health records where you lack a lawful basis) unless the product is expressly contracted for that purpose
6. Customer Data — ownership and license
You (or your organization) retain all rights in Customer Data. These Terms do not transfer ownership of your records to NIFI. You grant NIFI a limited, worldwide, non-exclusive license to host, encrypt, back up, transmit, and otherwise process Customer Data solely to provide, secure, and support the Services, and to comply with law.
You represent that you have collected and submitted Customer Data lawfully, that you have informed data subjects where required, and that you will not instruct NIFI to process data in a way that would make NIFI violate applicable privacy law.
7. Confidentiality and no third-party data supply
NIFI treats Customer Data as confidential. We do not sell, rent, or provide Customer Data — including personal data and corporate data — to third parties for their independent commercial use, advertising, or data-brokerage. We do not operate a side business of sharing guest lists, employee files, or financial records with partners.
Disclosure is limited to: (a) persons you authorize inside the Workspace; (b) AWS infrastructure under NIFI’s control as described in Section 8; (c) professional advisers under confidentiality; (d) a binding legal demand we cannot lawfully resist; or (e) a corporate transaction in which the successor is bound to protect the data.
8. Security, encryption, and AWS
NIFI will implement technical and organizational measures appropriate to the risk, consistent with ISO/IEC 27001-style controls and cloud security practice. In particular:
- All sensitive personal data and all sensitive corporate data is encrypted via Amazon Web Services (AWS): TLS in transit, and AWS encryption at rest (including AWS KMS and encrypted managed storage).
- Production access is restricted by identity and role. Administrative actions are logged.
- We maintain backups of Customer Data on encrypted AWS storage, rotated on a defined schedule.
- You must configure Workspace roles, MFA, and endpoint hygiene. NIFI is not responsible for loss caused by compromised user credentials or misconfigured permissions you control.
Security is a shared responsibility. No system is invulnerable. You should maintain your own copies of critical records. Details of processing are in the Privacy Policy.
9. Fees, taxes, and plans
Paid Services are billed as stated in the Order (subscription, usage, professional services, or a combination). Fees are exclusive of taxes unless the Order says otherwise. Late amounts may accrue interest at the rate allowed by law. We may suspend the Services for non-payment after notice.
Unless the Order states a fixed term with auto-renewal, subscriptions renew for successive periods of the same length until cancelled in accordance with the Order or product UI. Usage overages, extra modules, and professional services are charged as quoted.
10. Intellectual property
NIFI and its licensors own the Services, software, documentation, APIs, UI libraries (including NiFi UI and CaliNi), trademarks, and nifi.us content. These Terms grant a limited, non-exclusive, non-transferable right to use the Services during the paid or trial term, solely for your internal business operations.
Feedback you provide may be used by NIFI without obligation. Open-source components are licensed under their own terms, which prevail for those components.
11. Professional services and AI features
Consulting, implementation, training, and similar work are delivered as described in the Order. Unless agreed in writing, deliverables other than Customer Data are licensed, not sold.
AI-assisted features (including NiOps AI and Sella) generate suggestions that you must review before relying on them in production. They are tools, not a substitute for qualified professional judgment, licensed advice, or your own operational procedures.
12. Warranties and disclaimers
We warrant that we will provide the paid Services in a professional manner substantially in accordance with the documentation. Except as expressly stated, the Services are provided “as is” and “as available” to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, NIFI is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for loss of data except to the extent caused by our failure to apply the encryption and backup measures in Section 8.
NIFI’s aggregate liability arising out of these Terms is limited to the fees you paid for the affected Service in the twelve (12) months before the claim, unless mandatory law requires a higher floor (for example death or personal injury caused by negligence, or fraud).
14. Indemnity
You will defend and indemnify NIFI against claims arising from Customer Data, your unlawful use of the Services, or your breach of these Terms, except to the extent the claim is caused by NIFI’s willful misconduct.
15. Term and termination
These Terms start when you first use the Services and continue until all Orders expire or are terminated. You may stop using free portal pages at any time. Either party may terminate an Order for material breach if the breach remains uncured 30 days after written notice (or immediately for unpaid fees after the notice period in the Order).
Upon termination we will disable access. You may export Customer Data while the Workspace remains active, subject to the product’s export tools. After a commercially reasonable retention window we delete or anonymize production Customer Data, except copies we must keep for law or dispute resolution. Sections that by nature should survive (including 6–8, 10, 12–14, 16–17) survive termination.
16. Governing law and disputes
These Terms are governed by the laws of Vietnam, excluding conflict-of-law rules, unless an Order specifies another governing law for a particular contract. Courts located in Vietnam have exclusive jurisdiction, except that NIFI may seek injunctive relief in any court of competent jurisdiction to protect its IP or the security of the Services. Mandatory consumer protections in your country of residence remain unaffected where they cannot be waived.
17. General
These Terms and the Order are the entire agreement for the Services and supersede prior discussions on the same subject. If there is a conflict, the Order prevails over these Terms for commercial terms, and these Terms prevail for legal boilerplate unless the Order expressly amends a named section. We may update these Terms by posting a new version at this URL; material changes take effect on the stated date. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. Notices to NIFI must be sent to the contact below.
